Corporate tax registration: who registers, when, and with what

Being within the rate is one thing; registering is another. A business entirely below the threshold still registers and files — zero per cent is not an exemption from the process.

The most common misunderstanding we meet on corporate tax is not about the rate or the reliefs, but about a simpler question: are we required to register at all? The answer is usually yes — including for those who will not pay a single dirham.

Being in scope is not the same as registering

The rate is nine per cent on taxable income above AED 375,000, and zero below it. But that zero is a rate, not an exemption: a business whose income falls entirely below the threshold remains a taxable person, registers, obtains a registration number, and files an annual return showing it is below the threshold.

When does your first period begin?

The tax period follows your financial year, not the calendar year. A business closing in June has a different first period from one closing in December, and registration and filing dates run from there. Establish your financial year from the constitutional documents or a board resolution before calculating any date — not from custom.

What the registration file needs

  • A valid trade licence
  • Memorandum and articles of association, with any later amendments
  • Identification for owners, shareholders and authorised signatories
  • The ownership structure, and details of related companies where they exist
  • Approved contact details and the business address
  • Details of the adopted financial year

Registration is not the end of it

Once the number is issued, the heavier part begins: preparing financial statements under accepted accounting standards, because the taxable base is built from accounting profit and then adjusted. A business keeping its books loosely will find the return asking for what it never prepared.

Small Business Relief does not remove the return

A business meeting the conditions for Small Business Relief is treated as having no taxable income for that period — but it stays registered, files its return, and elects the relief within it. The relief is claimed, not assumed; anyone who did not claim it did not get it.

Practical steps

  • Confirm your adopted financial year first — every date is calculated from it
  • Register even if your income is entirely below the threshold
  • Put the books in order before the first return, not after
  • Test Qualifying Free Zone Person status if you are in a free zone, rather than assuming zero
  • Document related-party transactions from day one
